Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you (the "Customer," "you," or "your") and eSeek LLC, a Pennsylvania limited liability company doing business as Fetch it Frankie ("FiF," "we," "us," or "our"). These Terms govern your use of the FiF Website, Chrome browser extension, and web application (collectively, the "Services").

By creating an account, installing the extension, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and the FiF Privacy Policy. If you do not agree, you may not use the Services.

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE IMPORTANT LIMITATIONS ON YOUR LEGAL RIGHTS, INCLUDING DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, AND A BINDING AGREEMENT TO RESOLVE DISPUTES IN PENNSYLVANIA COURTS.

1. The Services

FiF is a software tool for Etsy sellers, with a particular focus on print-on-demand (POD) sellers. The Services include an order management workstation, profit and cost tracking with supplier integration, reporting and analytics dashboards, and a Chrome browser extension that displays supplemental seller tools within the Etsy seller interface.

FiF is not affiliated with, endorsed by, or certified by Etsy, Inc., Printify, or any other third-party platform with which FiF integrates.

2. Eligibility

To use the Services, you must:

• Be at least 18 years of age
• Have a valid Etsy seller account in good standing
• Have the legal authority to enter into these Terms on behalf of yourself or the business you represent
• Comply with Etsy's own Terms of Use and Seller Policy, as well as all applicable laws in your jurisdiction

You represent and warrant that all registration information you provide is truthful, accurate, and current, and that you will maintain the accuracy of that information.

3. Account Registration and Security

The person who creates an account and whose payment method is charged (the "Account Owner") has control over the account and is responsible for all activity conducted through it, including activity by Team Members, virtual assistants, or other collaborators granted access.

You are responsible for:

• Maintaining the security of your login credentials and payment information
• All activities that occur under your account
• Notifying us promptly of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to safeguard your account. We reserve the right to suspend or terminate accounts that are used in violation of these Terms.

4. Connecting Your Etsy Shop and Supplier Accounts

Using FiF requires you to authorize access to your Etsy shop via OAuth and, optionally, to your Printify or other supplier accounts. By authorizing access, you grant FiF permission to retrieve, process, and display the data necessary to provide the Services, within the limits described in our Privacy Policy.

You may revoke access at any time through your Etsy or supplier account settings. Revocation will disable FiF's functionality for that shop and will trigger deletion of buyer personally identifiable information as described in our Privacy Policy.

5. Acceptable Use

You agree not to:

• Use the Services in any way that violates Etsy's Terms of Use, API Terms, or Seller Policy
• Attempt to circumvent rate limits, authentication, or security controls of the Services or any integrated platform
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Services
• Resell, sublicense, rent, lease, or transfer your account, API credentials, or access to the Services to any third party
• Use the Services to scrape, harvest, or redistribute Etsy data in violation of Etsy's terms
• Upload, process, or otherwise handle data you do not have the legal right to process
• Interfere with or disrupt the Services, or the servers and networks hosting them, or introduce viruses, malware, or other malicious code
• Use automated systems, bots, or software to extract data from the Services
• Use the Services to harass, defraud, or harm buyers, other sellers, or any third party
• Automate actions on Etsy in a manner that would trigger Etsy's automated traffic, bot, or anti-abuse detection systems
• Impersonate FiF personnel or another user
• Use the Services for any unlawful purpose

Violation of this section may result in immediate suspension or termination of your account without refund.

6. Fees, Billing, and Subscriptions

FiF may offer free and paid subscription tiers. Current pricing is published on the Website.

Billing. Paid subscriptions are billed in advance on a recurring basis (monthly or annual) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees until you cancel.

Fee changes. We may change pricing with at least 30 days' advance notice. Price changes take effect on your next billing cycle after the notice period.

Refunds. Except as required by law or explicitly stated elsewhere in these Terms, all fees are non-refundable. Cancellation stops future billing; it does not refund the current billing period.

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the then-current billing cycle.

Failed payments. If a payment fails (due to expired cards, insufficient funds, or other reasons), we may suspend your access until a valid payment method is provided.

7. Data Ownership and License

Your data is yours. You retain all rights to the data you import, generate, or store through FiF, including shop data, order data, settings, and custom configurations.

You grant FiF a limited, non-exclusive, worldwide, royalty-free license to access, store, process, and display your data solely to provide the Services to you. This license terminates when you delete your account, except for any data we are required to retain for legal or regulatory reasons as described in our Privacy Policy.

Etsy data remains subject to Etsy's API Terms of Use and Etsy's ownership rights. FiF's access to Etsy data is governed by our API credentials and your OAuth authorization.

Feedback. If you voluntarily submit suggestions, feature requests, or other feedback, you grant us an unrestricted, royalty-free license to use that feedback without compensation or attribution.

8. Buyer Data

FiF processes buyer personally identifiable information (PII) only as necessary to help sellers fulfill their Etsy orders, in accordance with Etsy's API Terms and our Privacy Policy. Buyer PII is encrypted at rest, isolated per shop, never aggregated across shops, and purged within 30 days of shop disconnect or account deletion.

You agree to handle buyer information only for legitimate fulfillment and customer service purposes, and to comply with all applicable privacy laws.

9. Intellectual Property

FiF and all of its components, including software, design, user interface, trademarks, logos, and content, are owned by eSeek LLC and protected by United States and international intellectual property laws. These Terms do not grant you any rights in our intellectual property except the limited license to use the Services described herein.

You may not:

• Use our trademarks, brand names, or logos without prior written permission
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Create derivative works based on the Services
• Copy, reproduce, distribute, or republish any portion of the Services

10. Third-Party Services

The Services integrate with third-party platforms including Etsy, Printify, Google Firebase, and Stripe. Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the acts, omissions, availability, or terms of third-party services.

If a third-party service becomes unavailable, changes its terms, or modifies its API, we may modify or discontinue related features of FiF without liability.

11. Service Availability and Changes

We strive to keep the Services available and reliable, but we do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, upgrades, third-party outages, or events beyond our reasonable control.

We may modify, add, or remove features at any time. When changes materially affect the Services, we will make reasonable efforts to notify you in advance.

12. Termination

By you. You may terminate your account at any time through your account settings or by contacting support.

By us. We may suspend or terminate your account if:

• You violate these Terms or Etsy's Terms of Use or API Terms
• Your account activity poses a security, legal, or reputational risk
• You fail to pay applicable fees
• We are required to do so by law
• We discontinue the Services generally

We will make reasonable efforts to provide notice before termination, except where immediate action is necessary or notice is prohibited by law.

Upon termination, your access to the Services ends, and your data will be deleted in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including Sections 7, 9, 13, 14, 15, and 17) will survive.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

• The Services will be uninterrupted, error-free, or secure
• Defects will be corrected
• The data displayed through the Services will be complete, accurate, or current at every moment
• Profit calculations, cost data, forecasts, or reports are guaranteed to be accurate for tax, accounting, financial, or business decisions
• The Services will meet your specific business requirements or produce specific results

You are responsible for independently verifying financial calculations, fulfillment decisions, and any business-critical outputs before relying on them. FiF is a tool that assists your workflow; it does not replace your professional judgment, your accountant, your tax advisor, or your own review of your business records.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ESEEK LLC AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR:

• Indirect, incidental, consequential, special, exemplary, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from third-party services (including Etsy, Printify, Stripe, Google, or any other integrated platform)
• Damages resulting from your reliance on data, calculations, forecasts, or reports produced by the Services
• Damages arising from unauthorized access to your account caused by your failure to safeguard credentials

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless eSeek LLC and its owners, employees, contractors, and affiliates from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of Etsy's or any third-party platform's terms
• Your violation of any law, regulation, or third-party right
• Any data you upload, process, or share through the Services

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction of those courts. You and FiF agree to waive the right to a jury trial to the extent permitted by law.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

17. General Provisions

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and FiF regarding the Services and supersede any prior agreements or understandings.

No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms at our discretion, including in connection with a merger, acquisition, or sale of assets.

Force majeure. We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, natural disasters, labor disputes, internet or utility outages, or governmental actions.

Electronic communications. By using the Services, you consent to receive electronic communications from us, and you agree that any notices, agreements, and disclosures we provide electronically satisfy any legal requirement that such communications be in writing.

Changes to Terms. We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by posting a notice within the Services. The "Last Updated" date reflects the most recent revision. Your continued use of the Services after changes take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Services.

18. Etsy Integration

The term "Etsy" is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc.

FiF accesses Etsy shop data exclusively through the Etsy Open API v3 using OAuth 2.0 authorization. FiF does not modify Etsy's checkout process, divert sales, redirect buyers, or replace any core Etsy functionality. All Etsy data accessed through FiF remains subject to Etsy's API Terms of Use.
